C & J Accounting and Secretarial Services are probably the largest accounting/secretarial and consulting company in Zimbabwe, and we are expanding. In the main, the quality of our service attracts new clients and until now we have not had the need to advertise. These include preparing cash flows, projections for bank loans, budgets, wage packages, assistance in emigration applications etc. Please contact us if you require anything of a financial nature which will assist you in your business endeavors.  During a recent client audit we were dismayed to discover how many clients had failed to submit their papers in order that we could complete their financial statements. Some are now up to three or four years in arrears, making it extremely difficult to bring these up to date. We are sure that clients are aware that in terms of current legislation, companies are obliged to submit tax returns annually, accompanied by appropriate financial statements, even if they have not traded or generated any income.  We would appeal to clients to make every effort to give us the necessary information in order that we can get the accounts up to date and avoid potential penalties.  The Secretarial Division As the name implies, this division handles secretarial matters including statutory returns, minutes, share certificates etc. It also sources shelf companies and handles company formations, and name searches.  You may have noticed that this division has decided to write to every client advising them when their annual returns fall due, and offering to submit these when the appropriate fee has been received. It is a legal requirement that annual returns must be submitted to the Registrar of Companies regularly. While our new system is working reasonably well, there are still companies who have fallen behind. There are severe penalties for defaulters and we would urge our valued clients to take not of this.  The Taxation Division Normal annual taxation computations are prepared by the clients accountants, approved by the client and then submitted to the revenue Authority. This applies to company and individual returns.  However, any queries are generally handled by the taxation Division.  Other functions of this division include: Capital gains taxation, calculations and queries, Annual Payment Dates, Final Deduction System for Employers, VAT Registration and reconciliations.  Clients should be aware that if their financial statements are not completed on time, it is their obligation to estimate their annual income and make APD payments on this basis. This is quite acceptable and we would encourage our clients to take this route.  We have been advised that the new rate of interest charged on overdue accounts has been increased to approximately 242% per annum.  Capital Gains Tax In terms of current legislation, CAPITAL GAINS TAX is payable on the sale of specific assets. These include immovable assets such as land and buildings and any marketable securities (shares) with the exception of those shares listed on the Zimbabwe Stock Exchange.  In the case of immovable assets sold, transfers will not be effected by the Deeds Office until a Capital Gains Clearance has been received. However, in the case of Marketable Securities, it is the obligation of the seller to ensure that the Secretaries making the transfer have addressed this matter and received the appropriate clearance.  Consulting Services This is the division which is involved in providing services which include: leases, sale agreements and Wills, Shareholders agreements, Trust documents - Personnel to act as trustees. Advising on the acquisition and sale of businesses and setting up of Corporate Structures, We also have personnel who can handle estates.  Other Services  Medical Facilities Clients will have observed handouts in doctor's rooms titles MEDICAL EMERGENCY. We are all aware how certain medical services in Zimbabwe have deteriorated and how prices have escalated beyond the means of all clients. This applies particularly to medical evacuation and treatment which now costs millions of dollars.  A division within our organization called Platinum Advisory Services represents: Prosperity Health (SA), BUPA International (UK), Global Health (UK) and Zurich Life Insurance (UK) representing external life Assurance /pensions and critical illness cover.  While we are confident that most of these plans would suit your requirements, we recommend Prosperity Health's Executive Hospital Plan as it is a South African based medical scheme, covering the SADC Region. This covers emergency evacuation and treatment in South Africa. There are a large number of other options which we would be pleased to explain to you.  This is an exciting new development and if you want further information please contact Anthony Mackintosh or his representatives.  Platinum Investments This is the investment division in our group which will invest your funds in reputable financial institutions and counters.  Two main types of investment are offered:  Platinum Call - this generally offers higher rates o interest than commercial banks and the funds are available when needed. Clients can add to this investment whenever they wish or leave the funds to grow for as long as required. Daily interest is calculated on the balance.  Platinum Fixed Investment - Clients decide on a period for the investment and are given a guaranteed interest rate for that period  There are various other options which our personnel would be pleased to explain to you.

Botswana Vaccine Institute, was established in 1980 as a commercial company is located in an area covering 12,000 square metres in the Broadhurst Industrial Estate, Lejara Road. The institute is designed to the most advanced specifications available.The instutute is completely self contained  it has all the facilities for typing of virus, for FMD research, and for the potency and safety tests.The institute produces a range of effective vaccines for diseases ranging from foot and mouth to anthrax.We produce vaccines for cattle, buffalo, sheep and goats. Our referene laboratory has ben designed to the most advanced specifications available. It services the whole of the Southern Africa region and caaries out activities such as virus identification, production and testing of diagnostic reagents, R&D.The institute is currently embarking upon a multimillion pula expansion project. Before independence in September 1966, golf in Gaborone was played on a nine hole course with eighteen tees that ran around and across the airstrip. The golf section of the Gaborone Sports Club in the village controlled the golf course.For security reasons the club was requested to move and with the help of the Botswana National Sports Council it was granted a lease by the Gaborone Town Council for the land the Club now occupies.Jimmy Russell, a government roads engineer, did the original layout of the course. Gordon Hampton, the then Director of Agriculture, decided that the clearing of the fairways would be the ideal training ground for bulldozer drivers under the supervision of the late Syd Youthed.Initially the greens were oiled sand that required smoothing down with a scraper before putting and the tees were built of concrete blocks with rubber mating supplied by the Prison’s Department.In 1967 the original clubhouse was designed by Peter Harrison and built by Derek Beesley. The old bar is the central part of the present bar area and was open towards the course.The course has been developed and refined over the last 30 years and is now a fine test of golf in tranquil surrounds with over 80 species of birdlife and a variety of animals that makes every round a pleasure. The lush kikuyu fairways give way to generous 8cm semi rough before the natural Botswana bush makes any wayward shot an adventure all of its own. The greens are on the slow side and receive frequent attention to keep them maintained.The club enjoys an active and healthy social attendance and has a wonderful relaxed atmosphere. It has hosted the BGU Independence Trophy for 42 years and has hosted the Zone 6 internationals three times, the Botswana Open over 20 times and the Sunshine Tour FNB events many times in  the past. It has also hosted 5 of the last 8 Botswana Nomads National Tournaments and remains the club with the highest membership numbers in Botswana.

LEA is a co-ordinated and focused one-stop shop Authority that provides development and support services to the local industry needs of SMMEs, encompassing training, mentoring, business plan finalisation, market access facilitation, and facilitation of technology adaptation and adoption.The Local Enterprise Authority (LEA) was established by the Small Business Act, Number 7 of 2004 as a Statutory Authority of the Government of Botswana. Coffee was first introduced to Kenya in 1893. With time, coffee farmers, especially white settlers saw the need to set up umbrella institutions that would offer core and essential services found to be critical in sustaining coffee production.In order to share coffee production overheads and benefit from economies of scale, the smallholder Africa Coffee Farmers formed Coffee Growers Co-operative societies, which later led to the formation of Kenya Planters' Co-operative Union (KPCU) Ltd in 1937 at Ruiru, Kenya. The KPCU was therefore formed as a stockist company to cheaply undertake bulk purchasing and stocking of essential agricultural inputs such as fertilizers, chemicals, tools and machinery, and then resell the same to the farmers on credit basis and at affordable terms.And to accommodate tha changing needs of the farmers, the KPCU gradually diversified its objectives, roles and functions to enable farmers improve the yields, quality and return on their coffee. This saw the company establish services such as coffee milling, extension services on coffee husbandry and provision of Short Term Credit to finance coffee production among others.Other coffee bodies formed within the same time include the Coffee Board of Kenya to offer licensing and regulatory services and the Coffee Research Foundation to carry out research activities.Ownership of KPCUThe KPCU is a farmers wholly owned institution, whose membership comprises of over 700,000 small scale farmers represented by over 300 Co-operatives and about 2,000 Estate farmers owning small, medium and large-scale farms. Farmers' representatives drawn from both the Coffee Co-operative Societies and Plantations therefore constitute the KPCU Board.Out of the 15 members of the KPCU Board, 9 represent the Co-operatives while 6 represent Estate farmers. They are nominated at grass-root level and are responsible for the affairs of the organisation through resolution passed by the shareholders at the Annual General Meetings, and in accordance with the Company's Memorandum and Articles of Association.Dual RegistrationAs Earlier indicated the farmers formed the main umbrella bodies to cater for the emerging needs that were considered vital for the growth of coffee industry. They then requested the Government to provide a legal framework under which the institution would operate. This led to the formulation of the Coffee Act, Cap 333 under which Coffee Board of Kenya has over the years operated.However, due to its expanded role, the KPCU could not operate solely as a co-operative and in 1945, KPCU was therefore incorporated under the Companies Ordinance of 1933 as a Limited Liability Company and in the same year, registered under the Co-operative Societies Ordinance of 1933. This enabled the company to effectively offer the diversified services to its members who comprise of small-holder coffee growers, Co-operative Societies and large estate/plantation farmers.The issue of dual registration was addressed by the Government in 1991 when a probe was instituted to scrutinize the KPCU's operations and come up with the restructuring recommendations. No conclusive decision was made regarding the dual registration.Â
